Welcome to selectedangels.com (the “Site”), operated by Selected Angels (“we” or “us”). These terms and conditions, together with any referenced documents (the “Terms”), govern your use of our Site and your participation as a syndicate member of Selected Angels. By using our Site or participating in Selected Angels, you agree to comply with these Terms.

Selected Angels is an angel investment syndicate connecting accredited investors with high-quality, curated investment opportunities through Special Purpose Vehicles (SPVs). Our goal is to offer investors access to carefully selected investment opportunities aligned with their industry expertise.

1. Regulatory Matters

1.1 Unregulated Services: Selected Angels is not regulated by the UK Financial Conduct Authority or any other financial regulatory body. Our Site provides a platform for sophisticated investors to register their interest in potential investment opportunities. Selected Angels does not arrange or advise on investments, guarantee investment opportunities, or provide financial advice.

1.2 Investor Responsibility and Due Diligence: Investors who register with Selected Angels may receive information about SPVs created by Selected Angels but are responsible for conducting their own due diligence. Investors are encouraged to seek independent advice before making any investment decisions. Selected Angels does not conduct proprietary due diligence on behalf of investors.

1.3 Investment Opportunities: Selected Angels may share SPV opportunities with investors who have relevant expertise. However, Selected Angels does not guarantee the availability, frequency, or success of investment opportunities, and all investment participation is optional and reviewed on a deal-by-deal basis.

1.4 International Participation: Selected Angels welcomes members from multiple jurisdictions, subject to compliance with applicable local laws. Our activities are governed by the laws of England and Wales, and it is the responsibility of members to ensure their own compliance with applicable laws.

1.5 Restricted Jurisdictions: We do not permit access to this Site or participation in Selected Angels from jurisdictions identified by the Financial Action Task Force (FATF) as having deficiencies in anti-money laundering or counter-terrorist financing measures or from other sanctioned areas as required by UK law.

2. Investor Registration and Membership

2.1 Eligibility: To join Selected Angels, investors must complete a registration form on our Site, confirming their status as a sophisticated or accredited investor. Selected Angels reserves the right to approve or deny membership at its discretion.

2.2 SPV Announcements and Participation: Registered investors will receive updates about potential SPV opportunities with Selected Angels. Only investors with relevant industry expertise may be invited to participate in specific SPVs. Participation is entirely optional and considered individually for each SPV opportunity.

2.3 Odin Platform for Investment: To invest in an SPV, investors must register on the Odin platform, which manages the legal, compliance, and financial aspects of each SPV investment. Selected Angels facilitates introductions but does not handle investor funds directly.

3. Use of Site and Member Content

3.1 Ownership and Permissions: Any content you upload to our Site must be owned by you or content you have the right to share. By submitting content, you grant Selected Angels permission to use it solely for its intended purpose, including internal records or legal compliance.

3.2 Content Responsibility: You are responsible for ensuring your content does not violate third-party rights and for keeping any submitted content backed up.

3.3 Disclosure of Identity: We reserve the right to disclose your identity if required by law or if a third party claims that content you submit violates their rights.

4. Access and Conduct on the Site

4.1 Temporary Access: Access to the Site is granted on a temporary basis. Selected Angels reserves the right to withdraw or restrict access without notice at its discretion.

4.2 Termination of Membership: Selected Angels may terminate your right to access the Site or participate in the syndicate if you breach these Terms.

4.3 Conduct Standards: You agree to use the Site solely for lawful purposes, particularly in connection with registering as a potential investor. Any attempt to introduce harmful material or gain unauthorized access to the Site is prohibited and may lead to legal action.

5. Intellectual Property Rights

5.1 Content Ownership: Selected Angels owns all intellectual property rights to the Site’s content. You may download content for personal use only, but modifying, distributing, or reproducing it without permission is prohibited.

7.2 Exclusion of Liability: Selected Angels excludes liability to the fullest extent permitted by law, including any indirect or consequential losses arising from use of the Site, syndicate membership, or reliance on information provided by Selected Angels.

7.3 Indemnity: By joining Selected Angels, you agree to indemnify and hold harmless Selected Angels, its officers, employees, and affiliates from any claims, losses, or damages arising out of your participation or investment activities.

8. Modifications to the Site and Terms

8.1 Updates: Selected Angels reserves the right to update or change the Site and these Terms periodically. By continuing to use the Site or participating as a syndicate member, you agree to the latest version of these Terms.

9. Governing Law and Jurisdiction

9.2 Jurisdiction: Any disputes arising from these Terms or your participation in Selected Angels will be subject to the exclusive jurisdiction of the courts of England and Wales.
